Terms & conditions	IMTEK Independent Eco Affiliate Agreement Please read this Independent Eco Affiliate Agreement carefully before accepting the terms and conditions and agreeing to become an Eco Affiliate. By accepting, you agree that you have read, understand and agree to be bound by the Independent Eco Affiliate Agreement, as amended from time to time, and accept the terms and conditions hereof. A. As an Independent Eco Affiliate, I understand and agree: 1. I will promote and sell IMTEK Eco Products on the web, blogs, social media sites, twitter, email and other digital platforms. I will have the option of selling products at Go Green Workshops, Events and Fundraisers. I will not knowingly sell IMTEK products for resale. I will present IMTEK products in a truthful, sincere and honest manner, and I will conduct myself in a manner that reflects the highest standards of integrity and responsibility in keeping with the reputation of IMTEK. 2. I will protect IMTEK�s trademarks and trade name by not reproducing IMTEK�s name and/or trademarks or copy any of the IMTEK�s materials for use in any advertising without the prior written approval of the IMTEK. 3. I am an independent Eco Affiliate and there are no guarantees of earnings. I am not an employee, agent, partner or franchisee of, or joint venturer with IMTEK. I cannot act on behalf of, represent or conclude any contracts on behalf of the IMTEK. I do not have any authority to incur any debt, obligation or liability on behalf of IMTEK. 4. As an Eco Affiliate who is an independent contractor, I am responsible for all self-employment taxes, income taxes and other filings required by law, and I am not covered by any State Unemployment or Workers� Compensation Act. I will not be treated as an employee with respect to this Agreement for federal, state or local law tax purposes, or otherwise. I agree to abide by all federal, state and local laws relating to my IMTEK Eco Affiliate business. 5. As an independent Eco Affiliate, I am responsible for having a working cellular phone and a computer with high-speed Internet access. 6. I will direct customers to IMTEK via my web site, links, banners and other electronic means where customers can order products and provide full payment via VISA, Mastercard, American Express, Discover Card, customer�s personal check, money order or other payment method deemed acceptable by IMTEK. I understand that all orders are subject to acceptance by IMTEK. 7. I understand that information and materials provided to me contain confidential and proprietary information of IMTEK. I will not use, disclose or reproduce these materials for other than my Eco Affiliate business without the express written consent of IMTEK. 8. I understand that there are no personal purchase requirements of products marketed by IMTEK at any level in the marketing program. 9. I authorize IMTEK to deduct from commissions or other amounts due me, amounts owed by me to IMTEK which are due at the time payment is set to be made by IMTEK to Eco Distributor. 10. I will demonstrate and sell IMTEK products in my role as an Eco Affiliate. I understand that I may sell or offer complementary products and services, but not services or products that are competitive with IMTEK products and services. For example, without prior written permission, I may not sell other sanitizers, air purifiers and deodorizers, but I may offer green construction services so long as the customer clearly understands that the additional services or products are not in any way endorsed or provided by IMTEK. I will not engage in any competing business during the period my Independent Eco Affiliate Agreement is in force and for at least 365 days thereafter. 11. I will permit IMTEK to release my name, business or cell phone number and Email Address in response to a customer request for an Eco Affiliate in my area. I also agree that IMTEK reserves the right to assure continued service to customers if I cease to be an active Eco Affiliate. 12. I agree that IMTEK has the right to audit my sales, including my sales records, to confirm eligibility for awards and commissions, make adjustments when necessary and to otherwise enforce the terms of this Agreement, and I will comply fully with IMTEK's audit requests. 13. I understand and agree that the products are not medical devices and are never offered or intended for medical treatment of any diseases or disorders. I am prohibited from participating in any diagnosis, prognosis, evaluation, treatment, description, or management of any diseases or physical or mental disorder. I agree and understand that I will not make any medical claims relating to any IMTEK product. I understand that by making any such claim, it could have the effect of the product being determined as a medical device and subject to substantial Rules and Regulations under the Food and Drug Administration. A violation of this Rule will result in immediate termination of any relationship with IMTEK. 14. Eco Affiliate applicants must be 18 years of age or older and must provide a Social Security Number or Federal Identification Number. 15. I understand and agree that a violation of any of the terms of the Agreement, including the Policies and Procedures of IMTEK may result in termination of Eco Affiliate Distributorship. 16. By using The IMTEK Eco Affiliate Program, I warrant that: � I am the owner or am licensed to use the entire contents contained on your website. � My website and/or newsletter does not violate any law or regulation. � My website and/or newsletter does not contain misrepresentation or content that is defamatory or violates any rights of privacy or publicity. � My website and or/newsletter does not and will not infringe any copyright, trademark, patent or other proprietary right. � I will place IMTEK banners anywhere on my site as you see fit, or within non-spam emails. � NOT ALLOWED: All other uses of banners or links, such as newsgroups, chat rooms, message boards, banner networks, counters, or guest books etc. are NOT allowed. � Failure to abide by these rules could mean termination from IMTEK Eco Affiliate Program. � Fraud is a serious offense, and will be treated as such. Fraud is defined as any action that intentionally attempts to create sales or click-throughs using robots, scripts, or manually "refreshing" of pages, for the sole purpose of creating commissions B. IMTEK Environmental Corporation ("IMTEK") understands and agrees: 1. IMTEK will pay commissions based on sales of IMTEK products submitted by Eco Affiliate. 2. In addition to commissions, IMTEK may provide additional awards to Super Eco Affiliates who meet specific goals and targets for that bonus plan. 3. IMTEK will calculate and pay commissions in accordance with the then current Company-published Commission Schedules. IMTEK may change commissions, incentive program rules and active sales requirements at any time with 30 days� prior written notice to the Eco Affiliate. 4. IMTEK will not impose on Eco Affiliate any geographical territories or limits relating to sales in the United States, Canada, Puerto Rico and other territories of the United States. C. General 1. This Agreement is subject to acceptance by IMTEK. 2. This Agreement is effective for 12 months from the date of acceptance. It is automatically renewed for additional terms of one year. 3. Either party may terminate this Agreement immediately for breach, or for any reason upon 30 days� written notice to the other. 4. IMTEK�s Eco Affiliate Procedures and the company�s Commission Schedules are incorporated into this Agreement by reference. The Procedures and Schedules may be altered, modified or changed from time to time by IMTEK. 5. This Agreement cannot be altered, modified or changed through any suggestions, advice, guides or sales aids provided by IMTEK. It can only be altered, modified or changed in writing issued by an authorized Company representative. 6. Written notice to the Company shall be mailed (with delivery confirmation required): IMTEK Environmental Corporation PO BOX 2066, Alpharetta, GA 30023 7. This Agreement shall be governed by the laws of the State of Georgia as to all matters. 8. The Independent Eco Affiliate will not be treated as an employee for federal or state tax purposes. D. 10/5/3 Triple Tiered Eco Affiliate Program Details 1. The IMTEK Eco Affiliate Program is a lucrative triple tiered program. This program allows you to make a 10% profit on monthly sales. You also get another 5% of sales from Sub Eco Affiliates (Tier 2) you recruit and a further 3% of sales from affiliates your Sub Eco Affiliates recruit (Tier 3). High performing Eco Affiliates will be invited to our Exclusive VIP Super Eco Affiliate Club which will entitle you to even higher profits & special bonuses. It doesn't get any easier than this to make money Eco Affiliate Program Profit Schedule Tier % Profit 1 10% 2 5% 3 3% 2. You will receive a commission for sending IMTEK authorized sales via your links. You are responsible for determining if the payout for a link you have placed on your site has changed or been discontinued. You will receive the commission from IMTEK. Payments are made monthly when your account balance reaches $50 or more for the previous months' transactions. Money credited to your account does not accrue interest. 3. If an order is later refunded to the customer or charged back by the customer, or if a customer's check does not clear, the referral fee, and any Eco Affiliate charge back fees, will be deducted from the next monthly payment sent to the Eco Affiliate ------------------------------------------------------------------------------------------------------------------------------------------ IMTEK Independent Eco Distributor Agreement Please read this Independent Eco Distributor Agreement carefully before accepting the terms and conditions and agreeing to become an Eco Distributor. I will present IMTEK products in a truthful, sincere and honest manner, and I will conduct myself in a manner that reflects the highest standards of integrity and responsibility in keeping with the reputation of IMTEK. 2. I will protect IMTEK�s trademarks and trade name by not reproducing IMTEK�s name and/or trademarks or copy any of the IMTEK�s materials for use in any advertising without the prior written approval of the IMTEK. 3. I am an independent Eco Distributor and there are no guarantees of earnings. I am not an employee, agent, partner or franchisee of, or joint venturer with IMTEK. As an independent Eco Distributor, I am responsible for having a working cellular phone, a computer with high-speed Internet access, and appropriate transportation to travel to customers� sites. 6. I will have product orders submitted to IMTEK accompanied by full payment via VISA, Mastercard, American Express, Discover Card, customer�s personal check, money order or other payment method deemed acceptable by IMTEK. I understand that all orders are subject to acceptance by IMTEK. 7. I understand that information and materials provided to me contain confidential and proprietary information of IMTEK. I will not use, disclose or reproduce these materials for other than my Eco Distributor business without the express written consent of IMTEK. 8. I agree that by accepting this Agreement, I am agreeing to purchase the Eco Distributor SaniBulb� Demo Kit or the Variety Demo Kit. Upon IMTEK�s acceptance of this Agreement, I authorize IMTEK to charge my credit card as provided in this Agreement for the Eco Distributor Demo Kit I choose. I understand that there are no personal purchase requirements of products marketed by IMTEK at any level in the marketing program beyond the initial expense of Demo Kit. 9. I authorize the Company to automatically charge my credit card for the non-refundable Membership Fee of $25/quarter, paid in the beginning of the quarter, until I cancel in writing. 10. I authorize IMTEK to deduct from commissions or other amounts due me, amounts owed by me to IMTEK which are due at the time payment is set to be made by IMTEK to Eco Distributor. 11. I will demonstrate and sell IMTEK products in my role as an Eco Distributor. I understand that I may sell or offer complementary products and services, but not services or products that are competitive with IMTEK products and services. For example, without prior written permission, I may not sell other sanitizers, air purifiers and deodorizers, but I may offer green construction services so long as the customer clearly understands that the additional services or products are not in any way endorsed or provided by IMTEK. General 1. This Agreement is subject to acceptance by IMTEK and conditioned upon the purchase of an Eco Distributor Variety Demo Kit for $125 or an Eco Distributor SaniBulb� Demo Kit for $195. The Eco Distributor Variety Demo Kit ($125) includes the following: � SaniBulb� Air Sanitizing, Purifying & Deodorizing CFL Bulb � PurAyre� Ionic Air Purifier & Deodorizer � SteriBrush� Portable Toothbrush Sanitizer � SteriBrush� Cup Toothbrush Sanitizer � OdorBar� Hand Deodorizer Soap � Smelleze� General Purpose Deodorizer Pouch � Smelleze� General Purpose Deodorizer Granules The Eco Distributor SaniBulb� Demo Kit ($195) includes the following: � Indoor Air Pollution Demo Chamber to demo SaniBulbs� eliminating smoke � 2 x SaniBulb� Air Sanitizing, Purifying & Deodorizing CFL Bulbs 2. This Agreement is effective for 12 months from the date of acceptance. It is automatically renewed for additional terms of one year. 3. Either party may terminate this Agreement immediately for breach, or for any reason upon 30 days� written notice to the other. 4. IMTEK�s Eco Distributor Procedures and the company�s Commission Schedules are incorporated into this Agreement by reference. You are simply required to buy a Variety Demo Kit for $125 or a SaniBulb� Demo kit for $195 to start. This program allows you to make a 20% profit on monthly sales above $197 and 30% profit if your monthly sales exceed $1,970. You also get another 5% of sales from Sub Eco Distributors you recruit and a further 3% of sales from distributors your Sub Eco Distributors recruit. High performing Eco Distributors will be invited to our Exclusive VIP Super Eco Distributor Club which will entitle you to even higher profits & special bonuses.
